Original Npros business profile for BioNovix, preserved below for archival purposes:
BioNovix was established in Scottsdale, Arizona, around 2006 as a consumer health-products company. Its principal product was Meridium, a dietary supplement formulated with xanthohumol, a naturally occurring compound derived from hops. The company promoted Meridium as a proprietary wellness formula and planned to build additional products around xanthohumol and related nutritional technology. Its last reported corporate address was 16410 North 91st Street, Suite 110, Scottsdale, Arizona 85260.
The company distributed its products through network marketing. Independent distributors sold BioNovix products directly to consumers and could build sales organizations by sponsoring additional distributors. Company materials emphasized proprietary products, scientific research, intellectual property and a secured ingredient supply chain, although a complete official compensation plan documenting commission rates and rank requirements is no longer publicly available.
Fred Auzenne served as BioNovix's chief executive officer, owner and controlling person beginning in 2006. Mark Labertew later became chief executive officer, while Auzenne moved into a director's role shortly before the company closed. Other individuals connected with the organization included Dr. Kim McLachlan and marketing executive Leonard Walker.
In February 2014, the South Carolina Securities Commissioner issued a cease-and-desist order against BioNovix and Auzenne concerning the company's earlier sale of stock. Regulators found that BioNovix had offered shares to investors, including South Carolina residents, without registering the securities or the sales agents involved. A June 2015 consent order resolved the matter as to Auzenne and STG Investors without admissions or denials; Auzenne and STG agreed to cease securities-law violations and jointly pay $7,500 in investigative costs. The proceeding concerned investment shares used to finance BioNovix, not its MLM compensation plan or nutritional products.
