Original Npros business profile for ClickIncomes.com, preserved below for archival purposes:

ClickIncomes.com was a San Diego-area Internet business opportunity founded in 1999 during the rapid expansion of advertising-supported and "get paid to surf" Internet businesses. Direct-selling executive Scott Kufus later identified himself as one of the founders and said he wrote the company's business and compensation plans. The operation was subsequently led by J. Stewart Borie, President, with Matt Morrow serving as Director of Marketing.

ClickIncomes combined Internet portals, website services and paid online activity. Kufus described the concept as allowing Internet users to earn money by clicking through participating websites, with advertising and e-commerce revenue supporting the compensation system. The company's April 2000 trademark application gives a broader picture of the platform: ClickIncomes planned to provide website-development tools, website hosting, multiple-user Internet access to shopping, information and entertainment sites, chat rooms, electronic bulletin boards, online databases and graphic-design services. The trademark claimed first commercial use on April 10, 2000.

ClickIncomes was promoted through a direct-sales/network-marketing compensation program rather than solely as a conventional Internet portal. Kufus specifically states that he developed the compensation plan and describes the company as an "online click through direct sales" business. Matt Morrow brought substantial network-marketing experience to the company, including previous work building a WebTV distributor organization.

ClickIncomes attracted outside investment during its brief operating period. On February 19, 2000, publicly traded Regency Group Limited entered an agreement to acquire a 25% ownership interest in ClickIncomes.com for $500,000. Regency reported to the SEC that it had paid $200,000 toward the transaction by March 21, 2000. The investment is significant because it confirms that ClickIncomes was operating as a separate San Diego company before its later combination with another public corporation.

A larger corporate transaction followed later that year. On October 6, 2000, Executive Help Services, Inc. announced an Agreement and Plan of Merger with ClickIncomes.com. Under the agreement, ClickIncomes was to merge into Executive Help Acquisitions, Inc., a wholly owned subsidiary of Executive Help Services, with ClickIncomes shareholders receiving Executive Help common stock on a one-for-one basis. Executive Help planned to change its corporate name and trading symbol following the transaction. Historical Npros records subsequently described ClickIncomes as operating as a division of Executive Help Services.

The association with Executive Help Services was short-lived. By April 2001, Executive Help had completed a reverse merger with Internet advertising-research company AdZone Interactive, which effectively became the operating public company. ClickIncomes did not survive as a continuing business within that structure. Its federal CLICKINCOMES.COM trademark application was formally abandoned on July 31, 2001 after the applicant failed to respond to a USPTO office action.

Executive Help Services itself was later referenced in a 2003 SEC enforcement complaint against Craig Shaber, Steven Wright and others involving several public shell companies. The SEC alleged that filings made for Executive Help Services before and during 2000 contained false descriptions of its business plan and offering history and alleged that its actual purpose had been to create a public shell for sale.
