NuCerity International was a Houston-based skincare network-marketing company founded in 2009 by Lonnie McKinney and David Dillingham. The company developed its business around dermatologist-oriented skincare products, led by Skincerity Nightly Breathable Masque. Skincerity used the company's patented Breathable Barrier technology to form a flexible layer over the skin intended to reduce moisture loss overnight. NuCerity later expanded its product line with anti-aging serums, cleansers, moisturizers, eye treatments and other personal-care products. By 2017, the company reported that its products were sold through thousands of independent distributors in 16 international markets.
NuCerity operated through a multilevel marketing model. Independent representatives earned income from retail product sales and could sponsor additional representatives, qualify for team commissions and advance through the company's distributor ranks. In August 2017, NuCerity entered a joint marketing partnership with Total Life Changes that allowed distributors from the two companies to market selected products from both product lines. The companies said their combined annual sales were approaching $250 million at the time.
ARIIX acquired NuCerity's business on March 18, 2018, for $7.4 million. The acquired assets included NuCerity's distributor and customer lists, intellectual property, inventory, equipment and exclusive worldwide rights to manufacture, market and distribute its products. ARIIX paid $1.8 million around the closing date, with the remaining $5.6 million structured as deferred consideration tied to post-acquisition sales. NuCerity brought approximately 30,000 representatives into ARIIX, and its skincare products were incorporated into ARIIX's international product portfolio.
ARIIX was subsequently acquired by publicly traded NewAge, Inc. in November 2020. NewAge and several affiliates, including ARIIX, filed for Chapter 11 bankruptcy protection in the U.S. Bankruptcy Court for the District of Delaware on August 30, 2022. The bankruptcy cases remain under post-confirmation administration.
