SportsNuts.com was a Utah-based sports, outdoor, and fitness company that combined catalog and online retailing with a network-marketing opportunity. The SportsNuts business was active by 1997, when advertisements promoted independent representatives under the slogan "Get Paid to Play" and offered customers a SportsNuts catalog containing sporting goods, apparel, outdoor equipment, fitness products, collectibles, and nutritional products. The public corporate entity that later carried the SportsNuts name had originally been incorporated as Durwood, Inc. in 1996 and changed its name to SportsNuts.com International, Inc. in April 1999.

SportsNuts marketed merchandise across a wide range of sports and recreation categories, including camping, fishing, hunting, golf, tennis, cycling, running, water and winter sports, fitness equipment, sports collectibles, apparel, sunglasses, and nutritional products. Federal trademark filings from 1999 also show plans to use the SportsNuts name for clothing, golf equipment, bags, towels, vitamins and supplements, and several online sports-information and communications services.

The company operated a documented multilevel compensation program. SportsNuts referred to its independent business participants as Players, while retail customers were known as Fans. Players could sponsor both other Players and Fans and earn commissions based on product purchases generated within their organizations. Customers could also participate in a Monthly Purchase Program, or MPP, which functioned as a recurring product-purchase program.

A 1999 compensation-plan specification filed as part of a SportsNuts SEC exhibit shows that a Rookie Player qualified by purchasing a Player Kit, maintaining at least five qualifying monthly purchase programs, and personally sponsoring at least five registered Fans. Qualified participants could earn 10% on their own commissionable volume, 10% on purchases by directly sponsored Fans and MPP customers, and additional commissions on volume generated by personally sponsored Players. The plan extended commissions through multiple levels and included team bonuses and leadership overrides.

SportsNuts also offered a $200 Fast Break Bonus when a qualified participant personally recruited a new Player who reached Starter status and registered at least three Fans within 14 days. Higher ranks and team structures included Starter, All Star, Hall of Fame, and Legend classifications. At the Legend level, the plan provided a 1% organizational override subject to its qualification rules. Retail Fans did not earn commissions, although customers generating sufficient annual commissionable volume could receive a 5% annual rebate.

The company's direction began changing in the early 2000s. In June 2001, SportsNuts acquired Rocky Mountain Sports Alliance, a sports-event management company, in a transaction valued at approximately $304,000. The acquisition helped move SportsNuts toward managing amateur sporting events, registration systems, sponsorships, promotions, and sports-related technology rather than relying on its earlier representative-driven merchandise program.

By 2004, SportsNuts publicly described itself as a sports management and marketing company serving amateur sports organizations and events. Its services included event management, online registration, sponsorship and promotion, sports-information technology, and merchandise sales through its online sports mall. The company reported approximately $660,000 in revenue for 2003 and projected revenue of roughly $900,000 to $1 million for 2004.

The transition was well established by 2006. Contemporary reporting described SportsNuts as operating registration and information-management systems for community sports events, owning and managing sporting events in the Rocky Mountain region, and supplying technology to sports organizations around the country. The original network-marketing opportunity was no longer central to the company's publicly described business.
