VMdirect was a Las Vegas-based digital communications and direct-selling company formed in May 2001. The company operated the helloWorld platform, which offered video email, video instant messaging, live webcasting, podcasting, and online media storage. Customers paid recurring subscription fees, while independent affiliates marketed the services through VMdirect.com. In June 2006, VMdirect became the operating subsidiary of publicly traded Qorus.com through a reverse-merger transaction, after which the public company operated under the DigitalFX International name.
The sales opportunity used a multilevel affiliate compensation structure. Affiliates purchased starter packages ranging from $69 to $1,999 and could earn commissions from customer subscriptions, affiliate enrollments, and an enrollment matrix paying through as many as eight levels. Retail subscriptions began at $9.95 per month. In 2005, VMdirect reported net sales of $5.07 million, including $2.59 million from affiliate starter packages and $2.48 million from recurring subscriptions. The company paid $2.34 million in affiliate commissions that year but recorded a net loss of $1.22 million.
By 2009, the company was attempting to broaden its offering beyond video communications. DigitalFX announced an alliance with supplement company Qivana that would allow VMdirect affiliates to join Qivana as independent business owners, while VMdirect continued marketing its AttainResponse and F5 internet-marketing products. The public company then filed Form 15 on November 9, 2009, terminating its SEC registration and suspending its obligation to file regular financial reports. This was a voluntary deregistration rather than an SEC enforcement action.
On February 19, 2010, VMdirect officially changed its name to ComF5, LLC. Management said the VMdirect, DigitalFX, helloWorld, and AttainResponse identities would be phased out and consolidated under the comF5 brand. The public parent subsequently became ComF5 International, Inc., trading under the symbol CMFV.
