LOS ANGELES, March 12, 2025 --

Herbalife said it entered a binding memorandum of understanding to acquire all of the assets of Pro2col Health LLC and Pruvit Ventures Inc., along with a 51 percent controlling interest in Link BioSciences Inc. The deals are expected to close in the second quarter of 2025 at a cost of about 25 million to 30 million dollars, with possible additional payments tied to future performance.

Pro2col is a digital health app that uses individual biometrics to recommend personalized nutrition, and Link BioSciences is a manufacturer that processes biometric, lifestyle and DNA data to formulate personalized supplements. Herbalife plans a beta version of the Pro2col platform for select U.S. distributors in the third quarter of 2025 and a full U.S. release in the fourth quarter, with other markets beginning in 2026.

Pruvit, a direct seller of ketone supplements with about 19,000 active distributors in 37 countries, will continue operating independently under current ownership for up to two years. President and incoming CEO Stephan Gratziani said the deals advance the company's plan to modernize the business. Herbalife also expanded its partnership with soccer star Cristiano Ronaldo, who will advise on the Pro2col platform.
