Tupperware
April 16, 2024
Tupperware Brands Corporation disclosed that on April 16, 2024 it received written notice from the New York Stock Exchange that it is not in compliance with Section 802.01E of the NYSE Listed Company Manual because it failed to timely file its 2023 Form 10-K with the Securities and Exchange Commission.
Under NYSE rules, the company has six months from March 29, 2024 to regain compliance by filing the overdue annual report, and the exchange may grant an additional extension of up to six months at its discretion. The NYSE also noted it may commence delisting proceedings at any time if it deems circumstances warrant.
Tupperware said resource attrition in its accounting department and ongoing material weaknesses in internal control contributed to the delay after it engaged KPMG as auditor in January 2024. The company said it expected to file within the six-month cure period but could not provide a specific filing date. A late-filer indicator was set to begin disseminating with the ticker on April 22, 2024.
