Tupperware
January 5, 2024
Tupperware Brands Corporation disclosed that on January 5, 2024 it received written notice from the New York Stock Exchange that it is not in compliance with Section 302 of the NYSE Listed Company Manual because it failed to hold an annual meeting for the fiscal year ended December 31, 2022 by December 31, 2023.
The company said the meeting was first delayed by the late filing of its 2022 Form 10-K, which was filed October 13, 2023, and then by efforts to retain a new independent auditor after PricewaterhouseCoopers declined to stand for reappointment. Tupperware said it would delay the annual meeting until a new auditor is appointed and a ratification proposal can be put to shareholders.
Tupperware also warned that it remains delayed in filing its 2023 quarterly reports. If those Form 10-Q filings are not made by March 31, 2024, the NYSE may begin suspension or delisting procedures, the company said.
