Reliv International said it will delist its common stock from the Nasdaq Stock Market, with the move expected to take effect near December 21, 2020, about 10 days after the company's official filing. It also said it will suspend its duty to file reports with the Securities and Exchange Commission.
Leadership described the step as voluntary after reviewing the financial and administrative cost of a Nasdaq listing.
A 1-for-2,000 reverse split of the common stock will be followed immediately by a 2,000-for-1 forward split. Both steps had already been approved by a majority of common stockholders. Holders of fewer than 2,000 shares will be converted into a right to receive 3.75 dollars in cash per share. Registered holders of more than 2,000 shares will not be cashed out, and their total share count will not change.
