LifeVantage Corporation said it has entered into a definitive agreement to acquire LoveBiome, a direct sales company focused on microbiome and gut health products. Under the agreement, LifeVantage will acquire LoveBiome's operating assets essential to the microbiome health business and retain key LoveBiome personnel, with founder and Chief Executive Kelly Olsen and other team members joining LifeVantage. Financial terms were not disclosed.
LifeVantage said the deal will grow its consultant network in key markets including the United States, Taiwan and Europe, broaden its reach in direct sales and add LoveBiome's P84 gut health product to a portfolio that includes the Protandim line and the MindBody GLP-1 System. The company said the acquisition is expected to enhance revenue growth and be accretive to adjusted earnings per share and adjusted EBITDA in its first year, with additional synergy opportunities.
"This strategic acquisition represents an acceleration of our mission to offer people around the world a better path to wellness and a healthy vibrant life while also serving as a natural expansion of our Activation philosophy," said Steve Fife, LifeVantage president and chief executive. Fife said the success of the company's compensation plan, products and digital LV360 initiatives laid the foundation that now allows it to invest in the core business and accelerate growth.
"We are excited to join forces with LifeVantage and help entrepreneurs around the world love life with the very best compensation plan, products, and community in the industry," Olsen said. The acquisition was expected to close by mid-October, subject to customary closing conditions and regulatory requirements.
