SALT LAKE CITY, November 13, 2023 --

LifeVantage Corporation said final certified results of its November 6, 2023 annual meeting confirmed that stockholders re-elected all seven incumbent directors, defeating a proxy challenge from Bradley L. Radoff and Sudbury Capital Fund, LP.

Re-elected were Michael A. Beindorff, Erin Brockovich, Steven R. Fife, Raymond B. Greer, Cynthia Latham, Darwin K. Lewis and Garry Mauro. The dissident nominees, Dayton Judd, Michael Lohner and Radoff, were not elected. About 72.85 percent of outstanding shares were represented. The closest race was for Mauro, who received about 4.61 million votes for and 4.56 million withheld, while Judd received about 4.53 million votes. Stockholders also ratified the company's stockholder rights plan, approved an amendment to its long-term incentive plan and backed executive pay in an advisory vote.

The company said turnout was much higher than at previous annual meetings and that it had more work to do but was confident its board and leadership team could continue executing the LV360 strategy and deliver profitable growth.
