SÃO PAULO, February 5, 2024 --

Natura &Co said its Board of Directors authorized management to assess a possible separation of Natura &Co Latam and Avon into two independent, publicly traded beauty companies, each with its own business plan, governance and management team.

Under the concept, Natura would own and operate the Natura brand worldwide and keep the right to operate Avon in Latin America, while Avon would own the Avon brand and run a geographically diversified business outside Latin America, benefiting from a commercial arrangement with Natura on Latin American sales. The company said the study follows divestments of Aesop and The Body Shop and aims to unlock value by giving each business greater autonomy.

Natura &Co cautioned that no separation is assured and that any transaction would require final board approval and consent from a majority of shareholders, among other conditions. Management said it would continue Avon's turnaround and the Latin American brand integration while the assessment proceeds.
