SAO PAULO, Brazil -- March 30, 2026
Natura announced a reconfiguration of its board of directors under which co-founders Luiz Seabra, Guilherme Leal and Pedro Passos, who signed a new 10-year shareholders' agreement, will leave the board and join a new advisory board with no decision-making role. Chairman Fabio Barbosa will also step down and join the advisory board, and Alessandro Carlucci was nominated to become chairman.
The proposed board adds five new members, Pedro Villares, Guilherme Passos, Luiz Guerra, Flavia Almeida and Gabriela Comazzetto, while director Duda Kertesz and Chief Executive Joao Paulo Ferreira remain. Bruno Rocha and Gilberto Mifano will leave the board, with Mifano continuing to chair the audit and finance committee. Shareholders will vote on the changes at a meeting on April 29.
Natura also said a fund managed by private equity firm Advent International has committed to acquire an 8 percent to 10 percent stake in the company within up to six months, at a target average price of 9.75 reais per share, with the right to nominate two board members.
