SAO PAULO, Brazil -- April 29, 2026
Natura Cosmeticos shareholders approved a reconfigured board of directors and the creation of a statutory Advisory Board at the company's ordinary and extraordinary general meeting, completing the governance changes outlined when the founders said they would leave the board.
The approved board slate includes Alessandro Giuseppe Carlucci, Flavia Buarque de Almeida, Gabriela Chaves Schwery Comazzetto, Guilherme Ruggiero Passos, CEO Joao Paulo Brotto Ferreira Goncalves, Luiz Francisco Guerra, Maria Eduarda Mascarenhas Kertesz and Pedro Cruz Villares. Shareholders also approved the independence status of Carlucci and other independent nominees and elected an Advisory Board slate of founders Antonio Luiz da Cunha Seabra, Guilherme Peirao Leal and Pedro Luiz Barreiros Passos, along with Fabio Colletti Barbosa.
The Advisory Board was approved as a body without executive functions or power to represent the company, intended to preserve Natura's purpose, values and culture. The March announcement of the founders' board exit had also disclosed Advent International's binding plan to buy an 8% to 10% stake.
