FLOWER MOUND, Texas -- April 1, 2026
Mannatech said it has filed a Form 12b-25 notification of late filing for its annual report on Form 10-K for the year ended December 31, 2025, telling investors it could not complete the report on time without unreasonable effort or expense.
The company said its independent auditor had discussed the possibility of a going concern issue, and that management needed more time to assess the repercussions and any remediation efforts. That work includes talks with third-party tax advisers and review of a cost-reduction plan. Mannatech said it expected to file the Form 10-K within the 15-day extension period under Rule 12b-25.
The late-filing notice followed a period of declining sales and earlier leadership changes in the finance organization. Mannatech later filed its 2025 Form 10-K on April 15, 2026, and reported fourth-quarter 2025 net sales of 26.6 million dollars.
